Position Profile:

The Anixter Legal

teamis seeking a Contract Managerwith 3-5 years of

demonstrated contract review and negotiation experiencefor

its Glenview, IL global headquarters. The position will beresponsible for the reviewing,

editing, negotiating, and managing the contract lifecycle of customer contract

documents while minimizing risks, protecting contractual posture, and adhering

to company policy.The Contract Manager must be

able to identify risks, interpret contract language andadvise internal stakeholders of risks, rights

and obligationsthat require a decision pursuant

to company policy.

Essential/Key Areas ofResponsibility:

  • Experience:3-5 years of demonstrated customer facing contract review and negotiation experience .

  • Review,edit, negotiate, and manage standard and non-standard contractualdocuments based on internal processes in order toensure compliance with appropriate laws,regulations, and corporate policies and division procedures, as well asestablishand maintain good business relationships with commercial customers. Typesof contracts may include, but are not limited to, master sales agreements,reseller agreements, service agreements, NDAs, teaming agreements, amendments,credit applications, consignment agreements, MOUs, LOIs, P.O. T&Cs, federal,state and local government agreements,andRFPs,RFQs,proposals, bids and other contractualinstruments.

  • Coordinatewith internal attorneys on complex contract matters that may have legalsignificance(such as, identifying special provisions, or non-standard orpotentially high risk terms and conditions).

  • Liaise withinternalsubject matter experts in Finance, Sales, Sales Ops, Credit, Insurance,Export Control, and other departments regardingcontractual rightsand obligationsrequiring their feedbackand/or approval.

  • Take or coordinate necessary actions to respond toany contractual issues within a reasonable time frame.

  • Assist internal stakeholders as they manage on-going customerrelationships.

  • Create written communication that is properly structured and providesclear, concise messages that draw well supported conclusions.

  • Operate in accordance with company policies and comply with companybusiness ethics practices.

  • Manage and facilitate various aspects of the contract process,including the contracts management application and other businessapplications.

  • Work on special projects as needed.

Requirements:

  • Excellent contract drafting and legal writing.Knowledge ofnegotiation tactics.

  • Strong understanding of commercial contracts,general business, and legalterms and usage.

  • Experience reviewing customer facing contractdocuments.

  • Knowledge of the UCC and US contract laws.

  • SuperiorEnglishcommunicationskills, bothverbally and in writing.

  • Stronginterpersonal skills.

  • Strive for excellence anddesire to be part of a team.

  • Strong project management skills. Ability tomanage multiple work assignments and meet critical deadlines in afast-paced environment.

  • Must interact effectively with all levels ofinternal and external customers.

  • Ability to work as a team member andcontribute to the overall success of a team as well as work independentlyand handle multiple tasks.

  • Proficiency with Microsoft suite(Word, Excel,Outlook, PowerPoint).

  • Contract Lifecycle Management experience is aplus.

  • Minimum Education Required: Bachelor’s degree.

  • Paralegal certificate or other professionalcertification is a plus.
