POSITIONPROFILE. Anixter

is seeking a mid-level commercial lawyer with 6-10 years of experience to join its legal team. Thesuccessful candidate will provide commercial legal support and advise on legalissues associated with complex product and services commercialtransactions with customers, vendors, distributors and other third parties,acting as a valued business partner and working closely with Anixter legal teamcolleagues to provide seamless legal support to clients. In addition to strong legal and analytical

skills as a commercial attorney, the right candidate will possess excellent

communication and interpersonal skills and an ability to interface with a broad

range of senior business managers, executives, and other colleagues and

professionals. The successful candidate will becomea key

member of Anixter’s global Legal Department consisting of 12 attorneys. The

position will report to Anixter’s Assistant General Counsel and Regional

Compliance Officer. The

position may be based at either Anixter’s headquarters in Glenview, IL, or

Anixter’s office in Miami, FL.

MAIN RESPONSIBILITIES/KEY GOALS. The successful candidate

will have approximately 6-10 years of substantialhands-on commercial legal experience ,combined experience in a major law firm and/or

in-house legal department, with a focus on complex product and servicescommercialcontracts or transactions. Responsibilities

include, without limitation:

  • Commercial

  • Handlethe day-to-day review,structure, draft,negotiation and implementationofcomplexcommercial agreementsto achieve acceptable risk levels.Such agreement types include, but are notlimited to, simple to complex product and/or service purchase contracts or transactions,distributor, MSA/MPA, reseller, teaming, subcontractor, transportation,LOIs/MOUs, NDAs, RFQs and RFPs containing terms and conditions, credit termsand conditions, and otherprocurement and purchasingagreements.

  • Provide practical legal counseling andguidance on a broad range of commercial matters to internal business customers.

  • Analyze transactions and legal principlesinto practical, innovative, creative and workable solutions.

  • Summarize and prepare risk summaries forreview and approval by executive management.

  • Provide guidance and leadership to the NorthAmerican Contract Management Team on the review, negotiation and drafting ofcommercialagreements and transactions.

  • Foster strong relationships with the variousbusiness segments and functional departments, and develop a deep understandingof their strategies and objectives to better serve their needs.

  • Ensure that company form agreements andtemplates, as well as contract negotiation playbooks, and legal and businessprocesses are up to date with respect to applicable laws/regulations and bestpractices.

  • Claims counseling

  • Managecommercial claims with in-house and outside counsel while minimizing cost andrisk.

  • Provide counseling to the business oncommercialclaims.

  • Education/Training

  • Provide and develop preventative educationand training in the areas of commercial law, Anixter’s contract review processesand risk management.

  • Law Department Projects/Initiatives

  • Collaborate with attorneys and paralegals,where applicable, on a variety of projects.

  • As part of the larger legal team, assist withthe creation, implementation and enhancement of processes, policies and toolsthat are in place and creating new ones where needed.

  • Providingadditional support to the Anixter Legal team as needed.

KEY QUALIFICATIONS. This role requires an experienced corporate attorney with sound legal

and business judgment and the following qualifications:

  • JD degree from a reputable, accreditedU.S. law school, and active U.S. Bar membership required.

  • 6-10 years of in-depth commercial legal experience, combined experience in amajor law firm and/or in-house legal department, with a focus on complex productand services commercial contracts or transactions.

  • Extensive drafting and negotiatingskills and experience, and deep knowledge and understanding of U.S. commerciallaw. Experience and knowledge of Canadian commercial law is a plus. High-level writing and drafting skills arecritical.

  • Providingpractical advice and solutions in a fluid environment.

  • Pragmaticapproach to problem solving and strong flexibility to adjust to changingrequirements, schedules and priorities.

  • Demonstratedability to apply innovative problem-solving skills and provide rapid,practical, business-focused legal/commercial contract advice to maximizerevenue and minimize risk and foster long-term client relationships.

  • Aclear business focused outlook, with a drive to developan understanding of the business and to build close relationships with businesscolleagues.

  • Theability to socialize ideas, make recommendations and gather team consensus tomove forward, while maintaining high levels of integrity and discretion.

  • Client-serviceoriented with the ability to create effective working relationshipscross-functionally, including interfacing confidently with internal andexternal stakeholders, on legal and business matters.

  • Ability to managemultiple tasks and work assignments and to produce high quality work underdeadline pressures in a fast-paced environment.

  • Process-orientedteam player with demonstrated ability to work under pressure manages multipleprojects simultaneously with the ability to focus on critical priorities withminimum supervision. Project management experience is plus.

  • Possesssuperior English oral and written communication skills. Fluency in Spanish is aplus.
